Aéma Groupe takes another step forward in its project to acquire Aviva France
On 23 February 2021, Aéma Groupe, a mutual protection group, entered into exclusive negotiations with Aviva Plc with a view to acquiring Aviva France for 3.2 billion.
By signing, subject to regulatory approval, the agreement for the sale of Aviva France shares, Aéma Groupe has taken a further step towards the acquisition of Aviva France.
This signature takes place within the framework of the timetable established by Aéma Groupe at the beginning of the operation and in compliance with the obligations relating to the information/consultation process of the employee representative bodies, both on the Aéma Groupe side and on the Aviva side. Completion of the transaction is expected by the end of 2021.
The economic and financial elements resulting from the acquisition are in line with the expectations that have been made when entering into exclusive negotiations.
The completion of the acquisition of Aviva France by Aéma Groupe remains subject to the conditions relating to the approval of the competent supervisory authorities, the Autorité de la Concurrence (ADLC), the Autorité de Contrôle Prudentiel et de Résolution (ACPR), the European Central Bank (ECB) and the Autorité des Marchés Financiers (AMF).
Aéma Groupe has made known its intention to change the General Management of Aviva France following the completion of the transaction; at that time, it would be proposed to the Board of Directors of Aviva France to replace Mr. Patrick Dixneuf by Mr. Philippe Sorret.
